• Venture Capital, Strategic and Angel Investments

We work with investors to protect the intellectual property or other assets of a company that form the basis of their investment and evaluate the company’s capital structure to ensure that the investor is receiving maximum downside protection as well as its share of the upside. Our attorneys understand the special tax needs of venture capitalists, hedge funds and angel investors and work with them to structure investments in a tax efficient manner. In addition, we advise our clients on all aspects of their investments, including Sarbanes-Oxley and other securities law compliance, for any public deals in which they are involved.

• Mergers and Acquisitions

Our Mergers and Acquisitions practice involves providing in-depth analysis and advice to targets and acquirers in private and public merger and acquisition transactions. Our attorneys have extensive experience representing financial and strategic investors in making acquisitions in a broad range of industries. We have advised clients in deals ranging from under one million dollars to over one billion dollars and understand how to structure those deals in a tax efficient manner. We have particular expertise in technology acquisitions and know how to ensure that buyers receive the technology or other important assets they seek. Our practice includes representing clients in public and private stock and asset acquisitions, mergers, leveraged buyouts, management buyouts, spin-offs, recapitalizations and other sophisticated transactions.

• Venture Capital Fund and Hedge Fund Formation

Our Venture Capital Fund and Hedge Fund Formation practice focuses on the representation of fund managers and investors in the formation of their funds. We understand how to structure a fund to maximize tax efficiency and to provide performance incentives to management. We advise the funds’ founders on the nuances of the investor subscription process and advise investors on negotiations among the investor group. Once the fund is formed, we continue to add value throughout the life of the fund by representing it as it builds an investment portfolio through private equity and other types of investments.

• Special Situation Investments

Our Special Situations practice focuses on representing hedge funds and other investment vehicles in special situation investments and providing advice to those funds on tax, securities law and business issues that arise in such transactions. We understand the particular tax needs of hedge funds and their investors and are able to create tax efficient investment structures that maximize investor returns. We have extensive experience representing hedge funds in investments in distressed companies, including recapitalizations, asset purchases and debt and equity investments. In public deals, we also advise investors on their securities law disclosure obligations.
